1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and VLS Technology ("TrueHRIS," "we," "us," or "our") governing your access to and use of the TrueHRIS HR management software platform, including all related websites, mobile applications, and services (collectively, the "Service").

By creating an account, clicking "I Agree," or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use TrueHRIS.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Our Services

TrueHRIS provides a cloud-based Human Resource Management System (HRMS) that includes, but is not limited to, the following modules based on your subscription plan:

• Payroll processing and statutory compliance (PF, ESI, PT, TDS)
• Attendance and leave management with biometric & geo-tagging
• Recruitment and applicant tracking (ATS)
• Performance management and employee appraisals
• Employee self-service (ESS) portal and mobile accessibility
• HR reporting, analytics, and custom export workflows

We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable prior notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3. Accounts & Access

3.1 Account Registration

To use TrueHRIS, you must register for an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

3.2 User Accounts & Permissions

As an account administrator, you may create sub-accounts for your employees or team members. You are responsible for ensuring that all users of your account comply with these Terms. You must promptly notify us if you suspect any unauthorised use of your account.

3.3 Account Security

• Use a strong, unique password for your TrueHRIS account
• Enable two-factor authentication where available
• Do not share login credentials outside your authorised organization team
• Log out from shared or public devices after each active session

4. Acceptable Use

You agree to use TrueHRIS only for lawful purposes and in accordance with these Terms. You must not use the Service to:

• Violate any applicable Indian or international laws or regulations
• Upload or transmit malicious code, viruses, or harmful software
• Attempt to gain unauthorised access to any part of the Service or other tenants' data
• Reverse engineer, decompile, or disassemble any part of the Service
• Resell or sublicense the Service without express written authorisation from TrueHRIS
• Use automated tools to scrape or extract proprietary platform data

5. Your Data & Ownership

5.1 Ownership

You retain full ownership of all data you upload or create within TrueHRIS ("Customer Data"). We do not claim any ownership rights over your Customer Data.

5.2 Use of Your Data

We use Customer Data solely to provide and improve the Service as outlined in our Privacy Policy. We will never sell your data to third parties.

6. Payment & Billing

6.1 Subscription Fees

TrueHRIS is offered on a subscription basis. Fees are billed in advance on a monthly or annual cycle depending on your selected headcount tier. All prices are in Indian Rupees (INR) and subject to applicable GST.

6.2 Free Trial

We provide a 30-day free trial with full feature access so you can evaluate the platform. No credit card is required during the trial period.

6.3 Refunds

We offer a 30-day money-back guarantee on all paid plans. If you are not completely satisfied within 30 days of your initial payment, contact us for a full refund.

7. Governing Law & Contact

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts in India.
